Welcome to Team Midnite. Team Midnite is powered by Neon Destiny Network. By accessing our website and services, you agree to comply with and be bound by the following terms and conditions. All data, content, and intellectual property associated with Team Midnite is the exclusive property of Team Midnite, subject to the laws of the Commonwealth of Pennsylvania, USA. This Terms of Service was last updated on September 27, 2026.

1. Acceptance of Terms

By accessing and using Team Midnite's website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms are effective as of December 15, 2025.

1.1. Eligibility and Age Requirement

Team Midnite services and community spaces are intended for individuals who are 18 years of age or older.

By creating an account, joining Team Midnite, applying for membership, participating in Team Midnite-operated community spaces, or otherwise using Team Midnite interactive services, you represent that you are at least 18 years old.

Individuals under the age of 18 are not permitted to register for, participate in, or maintain membership in Team Midnite-operated services or communities where this age requirement applies. This requirement applies to membership, accounts, applications, Discord and other community participation, and interactive Team Midnite services; it does not by itself restrict ordinary access to public informational pages.

Team Midnite may request reasonable age verification where necessary to enforce this requirement. Accounts or memberships reasonably determined to belong to an individual under the age of 18 may be suspended or terminated.

Providing false or misleading information regarding your age may result in immediate removal from Team Midnite services.

1.1.1. Why Team Midnite Is 18+

Team Midnite maintains an 18+ community requirement to support a mature environment for creators, staff, community members, and professional partnerships. This requirement also allows Team Midnite to maintain consistent expectations for participation, communication, moderation, and conduct across its services.

2. Service Provider and Network Relationship

Team Midnite is powered by Neon Destiny Network, which provides technical infrastructure and support services. However, all content, data, branding, and intellectual property remains the exclusive property of Team Midnite. The Neon Destiny Network relationship is purely operational and does not transfer ownership of Team Midnite assets or data.

3. Membership and Content Creation

3.1 Content Guidelines

• All content must comply with Twitch's Terms of Service and Community Guidelines
• Content must be family-friendly and appropriate for all audiences
• No hate speech, discrimination, or harassment
• No unauthorized use of copyrighted material

3.2 Member Responsibilities

• Maintain professional conduct during streams and community interactions
• Regular streaming schedule as agreed upon joining
• Participation in team events and activities
• Proper representation of Team Midnite brand

4. Intellectual Property and Data Ownership

All content, logos, trademarks, data, user information, and other materials on this website are the exclusive property of Team Midnite unless otherwise stated. This includes but is not limited to:

• All user-generated content and data
• Team branding, logos, and visual assets
• Website code, design, and functionality
• Member profiles, statistics, and associated data
• Community content and interactions

You may not use, reproduce, distribute, or claim ownership of our intellectual property without explicit written permission from Team Midnite.

5. Privacy and Data Protection

We respect your privacy and protect your personal information. All user data collected by Team Midnite is the property of Team Midnite and is handled in accordance with our Privacy Policy. We do not sell your personal information or share it for cross-context behavioral advertising. Please review our Privacy Policy for details on how we collect, use, and protect your data, how we use cookies, and how you can exercise your privacy rights (including via the Privacy / CCPA Choices widget and your account settings tools).

Some features and application processes may require sharing your information with trusted third parties for review and processing. Specifically:

• Graphics Artist/Designer Applications: Designer application data is now processed through our Midnite Community Outreach Manager for evaluation and review.
• General Applications: Other application types may be reviewed by designated team members or trusted partners as needed.

All data transfers are handled using the latest SSL security protocols and best practices. As Team Midnite introduces new features or services, additional data may be required. We will always update our Privacy Policy and Terms of Service to reflect any significant changes in data collection or processing.

5.1. TeamMidnite Email Accounts and Usage

TeamMidnite may provide authorized team members, staff, leadership, or other approved individuals with a TeamMidnite-managed email address for use in connection with TeamMidnite activities.

TeamMidnite email accounts are provided for legitimate TeamMidnite-related communication and operations. Users of these accounts are expected to use them responsibly and in a manner consistent with TeamMidnite policies.

TeamMidnite-provided email accounts may not be used for spam, phishing, impersonation, fraud, harassment, malicious activity, unlawful purposes, unauthorized commercial activity, or any activity intended to harm TeamMidnite, its members, partners, services, or reputation.

Access to a TeamMidnite email address does not grant the account holder authority to enter into agreements, make commitments, represent official TeamMidnite policy, or otherwise bind TeamMidnite unless that authority has been expressly granted.

TeamMidnite retains ownership and administrative control of email accounts issued under TeamMidnite-controlled domains. Access may be restricted, suspended, reassigned, or terminated when necessary, including when an individual's role with TeamMidnite changes or ends.

Users are responsible for maintaining the security of their account and must promptly report suspected unauthorized access or compromise.

5.2. Social Media Management and Creator Communications

Team Midnite may operate official accounts on third-party social media and content platforms, including X, TikTok, YouTube, Facebook, and other platforms used by Team Midnite.

An authorized Team Midnite Social Media Manager or other designated representative may contact Team Midnite members regarding their streams, clips, highlights, announcements, events, achievements, or other content that may be suitable for promotion through Team Midnite's official social media channels.

Team Midnite members may also contact the Social Media Manager to submit or suggest content for promotion. Submission of content does not guarantee that the content will be published.

Content accepted for social media use may be edited, formatted, captioned, resized, clipped, or otherwise reasonably adapted for the respective social media platform. For example, content intended for X may be presented differently from content published to TikTok, YouTube, Facebook, or another service.

Unless otherwise agreed, Team Midnite's use of submitted creator content does not transfer ownership of that content to Team Midnite. The creator retains ownership of their original content while granting Team Midnite permission to use the submitted or approved material for Team Midnite-related promotional and community purposes.

Team Midnite may remove, revise, reschedule, or decline social media content at its discretion, including where necessary to comply with Team Midnite policies or the rules of the applicable third-party platform.

5.3. Official Social Media Communications

Official Team Midnite Social Media Management communications will originate through recognized Team Midnite accounts, authorized Team Midnite community accounts, or Team Midnite-managed email addresses. Members should report suspicious requests claiming to represent Team Midnite.

6. Code of Conduct

• Treat all community members with respect
• No toxic behavior or bullying
• Maintain professionalism in all team-related activities
• Report any violations or concerns to team management

7. Discord Bot Services

Team Midnite operates Discord-Verified Bots (approved and checkmarked by Discord) within our official Discord server. By participating in our Discord community, you agree to the following terms regarding our bot services:

7.1 Bot Services Provided

Our verified Discord bots provide the following community services:

• Team Member Shoutouts: Automated announcements celebrating team members
• Live Stream Announcements: Notifications when team members go live on streaming platforms
• Streamer of the Week: Weekly featured streamer announcements and recognition
• Community Notifications: Team news, events, and important updates
• Member Verification: Role management and access control for team members

7.2 User Responsibilities

When interacting with our Discord bots, you agree to:

• Use bot commands appropriately and as intended
• Not attempt to abuse, exploit, or disrupt bot functionality
• Report any bugs or issues to team management
• Respect rate limits and avoid spamming bot commands

7.3 Discord Verification

Our bots have been reviewed and approved by Discord, indicated by the verified checkmark. This verification confirms compliance with Discord's Developer Terms of Service. For information on how our bots handle your data, please see our Privacy Policy.

8. Termination

Team Midnite reserves the right to terminate or suspend any member's participation for violations of these terms or any other misconduct that affects the team's reputation or community.

9. Changes to Terms

We may modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms. Significant changes, especially those related to new features or data practices, will be highlighted on this page or via site announcements.

11. Disclaimers & Limitation of Liability

Team Midnite provides the services on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the operation or availability of the services, or the information, content, or materials included. To the fullest extent permitted by law, Team Midnite and its affiliates disclaim all warranties and will not be liable for any damages of any kind arising from the use of the services, including but not limited to direct, indirect, incidental, punitive, and consequential damages.

12. Governing Law & Jurisdiction

These Terms of Service and all aspects of your relationship with Team Midnite are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Pennsylvania for the resolution of any disputes arising out of or relating to these Terms or the use of Team Midnite's services.

All legal proceedings, claims, and disputes must be brought in Pennsylvania courts, and you waive any objection to the venue or jurisdiction of such courts.

13. Definitions

• "Member" means any registered user of Team Midnite.
• "Content" refers to any text, images, video, audio, or other material posted or shared on the platform.
• "Services" means all features, functionality, and offerings provided by Team Midnite.
• "Team Midnite" refers to the organization, its services, and all associated properties.
• "Neon Destiny Network" refers to the technical infrastructure provider that powers Team Midnite services.
• "Discord Bot" refers to the Discord-verified automated services operated by Team Midnite within our official Discord server.

14. Opt-Out & Account Termination

You may terminate your account at any time by contacting us at our Contact Page or by using your account settings page at /user/settings.php. From your account settings, you can also export your data and begin the account deletion process using the Danger Zone section. Upon termination, your access to the services will be revoked, and your data will be handled in accordance with our Privacy Policy.

15. Payment & Fee Terms

Team Midnite services are provided free of charge. We do not accept funding or monetary contributions for our core services. However, we do offer official merchandise through our authorized retailer at midnitegg-shop.fourthwall.com.

Important: The Terms of Service and Privacy Policy for merchandise purchases are governed separately by Fourthwall (midnitegg-shop.fourthwall.com) and are not covered under these Team Midnite terms. Please review the terms and policies on the merchandise site before making any purchases.

If our core service model changes in the future, we will update these Terms and notify users in advance with at least 30 days notice.
